Promotion General Rules

These Promotion General Rules (“Rules”) apply to the promotions (“Promotion”) sponsored by ThoughtSpot, Inc., with its headquarters at 444 Castro Street, Suite 1000, Mountain View, California 94041, USA (“Sponsor” or “ThoughtSpot”). The Promotion is subject to these Rules. Additional Promotion Sponsors may be listed in the Communication, and shall collectively be considered “Sponsors” for the purposes of that Promotion and these Rules. In addition, some special terms and changes not noted in these rules may be listed in the specific communication, or in advertising announcing the Promotion (collectively, the “Communication”).
- PROMOTION COMMUNICATION.
- Promotion Prize. Prize information will be available in the Communication, which may include, but is not limited to, the number of prizes, the value for all prizes, and delivery methods for prizes (the “Prize”). In some cases, and except where, a Participant is selected as the winner of the Promotion (“Selected Participant”) may be required to execute certain documents in order to receive a prize. These documents could include a Declaration of Eligibility, a Liability Release, a Publicity Release, tax forms, and other information (“Declaration/Release”). Selected Participants may be required to show proof of their age or eligibility before receiving the Prize. Selected Participants forfeit the prize if they do not respond to the prize notification within the specified time period listed in the Communication or notification of selection. PLEASE NOTE THAT MANY PRIZES ARE TIME-SENSITIVE AND RESPONSE WITHIN SHORT TIME FRAMES MAY BE REQUIRED. Some prizes may provide entry to a program, event, or conference (“Location”). The prize will never include travel to and from any Location, all of which will be the sole responsibility of the Selected Participant, unless otherwise stated specifically in the Communication. If a Selected Participant fails to sign and return any required documents within the time frame required, is found to be ineligible, or does not comply with the Rules, then that Selected Participant may be disqualified and an alternate Participant may be selected. Given the time sensitive nature of some prizes, the Selected Participant may have fewer than 24 hours to respond to prize notification. If a Prize notification or Prize is returned as undeliverable, or if the Selected Participant may not accept or receive a prize for any reason, the Prize will be forfeited and may not be re-awarded, in Sponsor’s sole discretion. In certain cases, and where it is legally required, a Selected Participant may be required to answer a skills question in order to receive the prize. In such an event, the Selected Participant will be contacted by the method provided in the Entry Method. The Prize consists of only those items specifically described in the Communication. Sponsor may at Sponsor’s sole and absolute discretion provide different prizes of equal or greater value.
- Promotion Term. All Communications include a start and an end date (the “Promotion Term”). All Submissions (as defined below) must be received during the Promotion Term to be eligible to win any Prize. The end time for the Promotion Term, unless otherwise noted in the specific Communication, will always be 11:59PM, California time (regardless of Daylight Savings Time), according to Sponsor’s internal time clock. Mailed entries are never accepted, and Sponsor is not responsible for any misdirected, garbled, incorrect, or otherwise late entries.
- Making a Submission. Individuals can enter the Promotion (each a “Participant”) by using an accompanying landing page or other submission method, as indicated in the Communication (“Entry Method”) to provide requested information, such as contact information and job position and role, and to take any required steps, in order to submit a promotion entry request (a “Submission”). All provided information must be valid, truthful, and current. Submissions must be received before the close of the Promotion Term.
- ELIGIBILITY. Unless otherwise noted in the Communication of the Promotion, The Promotion is open to ThoughtSpot customers, prospective ThoughtSpot customers, and members of the public who are at least 18 years of age or older during the Promotion Term and who are otherwise eligible to participate in sweepstakes and/or prize draw promotions where such Promotions are not restricted or prohibited by law. The following participants are not eligible: employees, shareholders, officers, directors, agents, representatives of Sponsor or other promotion and advertising agencies of any aforementioned entity, the prize provider(s), and their immediate family members and those living in their household, and each person or entity connected with the production or administration of the Promotion and each parent company, affiliate, subsidiary, agent and representative of any aforementioned entity (collectively “Promotion Entities”). Additional eligibility criteria, restrictions, or expansions may be specified in the applicable Communication. The Promotion is subject to all applicable federal, state and local laws, rules and regulations. Void where prohibited. Each Participant is eligible to receive a maximum of one (1) Prize, regardless of the number of Submissions.
- GENERAL CONDITIONS. By participating, Participants agree to be fully and unconditionally bound by these Rules and the decisions of Sponsor, and waive any right to claim ambiguity in the Promotion or these Rules. The Promotion may be canceled, suspended and/or modified, in whole or in part, if in our opinion any fraud, technical failure or other factor beyond Sponsor’s control impairs the integrity or proper functioning of the Promotion. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Promotion or its related media, to be acting in violation of these Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Promotion, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Caution: any attempt to deliberately damage or undermine the legitimate operation of the Promotion may be in violation of criminal and civil laws and will result in disqualification from participation in the Promotion. Should such an attempt be made, Sponsor reserves the right to seek remedies and damages (including attorney fees) to the fullest extent of the law, including criminal prosecution. Sponsor reserves the right at its sole discretion to terminate the Promotion. In participating in any part of the Promotion, Participant may not violate any law or any of their company policy, procedure or practice, nor encourage others to violate any law or that individual’s company policy, procedure, or practice. No substitution, transfer, or cash redemption of the Prize permitted. The Participant cannot assign or transfer the Prize to another person or business. Sponsor may terminate the Promotion at any time for any reason without giving a prize.

- SUBMISSION VALIDITY AND DISQUALIFICATION. No Participant may enter with multiple identities or use any automated system, bot or other device or artifice to enter or obtain more than the maximum number of qualified entries. Sponsor and its agents are not responsible for lost, late, incomplete, void, misdirected, unreadable or unintelligible Submissions; such Submissions are void and will be disqualified. Only complete valid Submissions will be accepted. Participants discovered entering under several names will be disqualified. Sponsor reserves the right to disqualify false entries or entries suspected of being false. All entries submitted become the sole property of Sponsor and will not be acknowledged or returned. In the event of a dispute as to the identity of a Participant, the Participant will be deemed to be the person whose name and relevant information was clearly associated with the accounts under which the Submission was given, at the time of Submission. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.
- TAXES. All federal, state or other tax liabilities (including income taxes) arising from this Promotion will be the sole responsibility of Participants. Participants may be issued an IRS Form 1099 for the average retail value of any incentive prize. Where required by Sponsor for tax reporting purposes, Selected Participants must provide a completed IRS Form W-9 (or equivalent tax documentation for non-U.S. persons) within the time frame specified by Sponsor. Failure to provide a completed W-9 or equivalent documentation within the required time frame will result in immediate forfeiture of the Prize, and Sponsor shall have no obligation to award an alternate prize or provide any compensation.
- VERIFICATION AND BACKGROUND CHECK. All prize claims and winner eligibility may be subject to verification and investigation by ThoughtSpot or its designated agents. ThoughtSpot reserves the right, in its sole discretion and as it deems appropriate for a particular Promotion, to conduct background checks, identity verification, and eligibility verification procedures before awarding any prize. These verification procedures may or may not be required depending on the specific Promotion. Winner’s prize may be immediately forfeited without appeal if any information provided during entry, prize acceptance, or verification is determined by ThoughtSpot to be false, incomplete, fraudulent, or inaccurate, or if winner fails to cooperate fully with any verification procedures that ThoughtSpot elects to conduct.
- PUBLICITY. By entering the Promotion (except where prohibited by law), each participant grants the ThoughtSpot the irrevocable, sublicensable, absolute right and permission to use, publish, post or display his or her name, photograph, likeness, voice, prize information, biographical information, any quotes attributable to him or her, any other indicia of persona, and any information contained in or submitted as part of their Submission (regardless of whether altered, changed, modified, edited, used alone, or used with other material in the ThoughtSpot’s sole discretion) for advertising, trade, promotional and publicity purposes without further obligation or compensation of any kind to him or her, anywhere, in any medium now known or hereafter discovered or devised (including, without limitation, on the Internet), world-wide, without any limitation of time, and without notice, review, or approval and each participant releases all Releasees from any and all liability related thereto. Nothing contained in these Rules obligates ThoughtSpot to make use of any of the rights granted in these rules and winner waives any right to inspect or approve any such use.
- INTELLECTUAL PROPERTY. By providing a Submission, you grant ThoughtSpot a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your Submission and anything therein, in any media or format, whether now known or hereafter developed. You represent and warrant that: (i) your Submission is original and does not infringe any third party's intellectual property rights; (ii) you have the full right and authority to grant the rights described herein; and (iii) your Submission does not contain confidential or proprietary information belonging to any third party. ThoughtSpot may use your submission for any business purpose, including but not limited to product development, marketing materials, case studies, social media posts, blog articles, presentations, and research. ThoughtSpot has no obligation to use, feature, or attribute any submission. ThoughtSpot will use submissions anonymously unless you provide ThoughtSpot with prior written permission to identify you in connection with your submission. You acknowledge that complete anonymity cannot be guaranteed if your submission contains identifying information or unique details that could reasonably identify you or your organization.

LIMITATIONS OF LIABILITY. If for any reason a Submission is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, the Participant's sole remedy is another entry in the same Promotion during the Promotion Term. Participants also agree to release, discharge, indemnify and hold harmless Sponsor and Promotion Entities and each of its officers, directors, employees, representatives and agents (collectively, “Releasees”) from and against any claims, damages, disability, attorneys' fees, and costs of litigation and settlement, as well as any liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from: (a) use, redemption, acceptance, possession, ownership, or misuse of any Prize, (b) participation in any activity, event, or excursion offered in connection with the Prize, (c) use of any facility, service and/or accommodation related to the Prize, (d) participation in any Promotion-related activity or participation in these Promotions, or (e) printing, distribution or production errors. The Releasees shall not be liable for: (i) late, lost, delayed, misdirected, incomplete unreadable, inaccurate, garbled or unintelligible Submissions, communications or declarations, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of a Submission or other materials; (iv) any injuries, losses or damages of any kind caused by the Prize or resulting from acceptance, possession or use of a Prize, or from participation in the Promotion; or (v) any printing, typographical, administrative or technological errors in any materials associated with these Promotions. Without limiting the generality of the foregoing, Releasees are not responsible for errors in websites, computer malfunctions, network connections, email delivery problems, systems failure or incompatibility, typographical, technical or key-stroke errors, or interruptions in your internet service, and for incomplete, illegible, misdirected, misprinted, late, lost, damaged, deleted, or stolen notifications.

FORCE MAJEURE. In the event Sponsor is prevented from continuing with the Promotion as contemplated herein by any event beyond its control, including but not limited to fire, flood, earthquake, explosion, labor dispute or strike, act of God or public enemy, or any federal, state or local government law, order, or regulation, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Promotion. If the Promotion is terminated before the designated end date, Sponsor may determine a Selected Participant from all eligible Submissions received as of the date of the Force Majeure event giving rise to the termination.

SEVERABILITY. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

NO WARRANTY. Sponsor makes no warranty, representation or guarantee, express or implied, in fact or in law, relative to the use of any prize, including, without limitation, quality, merchantability or fitness for a particular purpose (unless sponsor provides the prize winner with written warranties). Further, no responsibilities are accepted for any additional expenses, omissions, delays or acts of any government or authority.

PRIVACY. All personal information collected by Sponsor for this Promotion will be used for administration of the Promotion and for marketing purposes in accordance with Sponsor’s privacy statement located at https://www.thoughtspot.com/privacy-statement. Except where prohibited by law, the Selected Participant’s entry and acceptance of the Prize constitutes permission for Sponsor and/or Promotion Entities to use the Selected Participant’s name, photograph, likeness, statements, biographical information, voice, and city and state address for promotional or advertising purposes in connection with Sponsor generally.

DISPUTES. Disputes regarding these Rules and/or this Promotion will be governed by the internal laws of the State of California. Decisions of Sponsor are binding and final. No claimant in any dispute involving Sponsor shall be entitled to claim or obtain indirect, punitive, incidental or consequential damages. Sponsor’s failure to enforce any provision in these Rules shall not constitute a waiver of that provision. Except as prohibited by law and as a condition of participating in this Promotion, Participant hereby waives any right they may have to a trial by jury in respect of any litigation directly or indirectly arising out of, under or in connection with a Promotion, any document or agreement entered into in connection herewith and any of the transactions contemplated hereby or thereby.

PROMOTION RESULTS. For Promotion results and/or a copy of these Rules, send a hand-printed, self-addressed, stamped envelope (stating the specific Promotion you are requesting the winners for) to ThoughtSpot, Inc.: ATTN: Legal Department, 444 Castro Street, Suite 1000, Mountain View, California 94041, USA. Requests must be received within ninety (90) days of the end of the Promotion Term.
