ThoughtSpot Embedded Edition Addendum

THIS THOUGHTSPOT EMBEDDED EDITION ADDENDUM (“ADDENDUM”) APPLIES TO ALL PURCHASES OF THOUGHTSPOT EMBEDDED EDITION OF THOUGHTSPOT CLOUD OR THE THOUGHTSPOT APPLICATION (“TSE”), AND ADDS ITS TERMS TO THE BINDING ORDER FORM OR AGREEMENT INTO WHICH THIS ADDENDUM IS INCORPORATED BY REFERENCE (“AGREEMENT”) BETWEEN YOU INDIVIDUALLY OR THE BUSINESS ENTITY OR PUBLIC AGENCY ON WHOSE BEHALF YOU ARE ACCEPTING THIS AGREEMENT (“CUSTOMER”) AND THOUGHTSPOT, INC. (“THOUGHTSPOT”).

In the event of any conflict between the terms of this Addendum and the Agreement, this Addendum shall govern to the extent of such conflict. If not already defined in the Agreement, “Documentation” means the then-current service operating and interface instructions (including API documentation) applicable to the products purchased by Customer and published at https://docs.thoughtspot.com/; and “Order Form” means an ordering document signed by the authorized representatives of Customer and ThoughtSpot that specifies: (a) ThoughtSpot subscriptions or licenses purchased and the pricing and term or each; and (b) the scope and price of consulting services purchased (if any).

Subject to the terms of the Agreement, the following additional terms apply to TSE:

  1. Embedding Rights. Notwithstanding the prohibition on third-party access and use in the Agreement, ThoughtSpot grants Customer the right to integrate TSE with Customer’s software or service (the “Customer Product”) and to utilize the ThoughtSpot SDKs, APIs and other TSE features described in the Documentation (“Development Materials”) to enable the Customer Product and interact with Customer Product data. As between the parties, ThoughtSpot, ThoughtSpot Affiliates, and their suppliers and licensors own all right, title, and interest in and to all IPR in the Development Materials.
  2. Client Access Rights. Customer may provide third parties accessing the Customer Product (“Clients”) with access to the embedded user interfaces of TSE in production environments only and in accordance with the Documentation.
  3. Customer Control. Customer shall not allocate authorized user privileges to Clients beyond those specified in the Documentation, shall not allow Clients to control authorized user provisioning or data warehouse connections, and agrees to be wholly responsible for all compliance with the Agreement and Order Form as if Clients were Customer. ThoughtSpot disclaims all obligations and liabilities to Clients and Customer shall indemnify ThoughtSpot against, and hold ThoughtSpot harmless from, all damages, costs, or losses arising out of all Client claims or demands, without limitation, against ThoughtSpot or ThoughtSpot Affiliates. Process limitations applicable to ThoughtSpot’s similar obligation in the Agreement (e.g., notice of claims) will apply to Customer’s obligation herein. Support obligations apply exclusively to Customer and Customer shall use commercially reasonable efforts to identify, isolate, and remediate any suspected error in TSE or the Customer Product prior to submitting any Support request to ThoughtSpot.
  4. Logos. Customer agrees not to alter, remove, or obstruct the “Powered by ThoughtSpot” watermark where presented in TSE.
